These Terms of Use (the “Terms of Use”) should be read by you (the “User” or “you”) in their entirety prior to your use of Waypoint’s services or products. Be aware that these Terms of Use constitute a legally binding agreement between you and Waypoint (referred to herein as “Waypoint”, “us” or “we”), which owns and operates the website on the Internet and the services at https://thewaypoint.up.railway.app/ (the “Services”). You consent to comply with all the terms set forth in these Terms of Use when/if you are provided with an “I Agree” button and have clicked on the button.

If you do not agree with these Terms of Use, you must not access or use the Services. All content, software, materials, and features made available through the Services are protected by applicable intellectual property laws, including copyright and trademark laws.

1. Limited Licence to Use the Services

1.1. Subject to these Terms of Use, Waypoint grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services and its content for your personal, non-commercial use only.

1.2. You may not:

  • copy, reproduce, modify, adapt, distribute, or create derivative works from any materials made available through the Services;
  • use the Services for any commercial purpose;
  • attempt to decompile, disassemble, reverse engineer, or otherwise derive the source code of any software made available through the Services;
  • remove or alter any copyright, trademark, or other proprietary notices; or
  • mirror or reproduce any part of the Services on any other server or platform.

1.3. This licence will terminate automatically if you breach these Terms of Use and may also be terminated by Waypoint at any time. Upon termination, you must cease use of the Services and destroy any downloaded or copied materials in your possession.

2. Registration Information and User Content

2.1. Certain features of the Services may require you to register an account or provide information, including without limitation your name, email address, mobile number, CV, employment history, career preferences, and any other materials or data you submit in connection with your use of the Services (collectively, “User Content”).

2.2. You represent and warrant that:

  • all information you provide is accurate, current, and complete;
  • you have the right to provide such information and User Content; and
  • your User Content does not infringe the rights of any third party or violate any applicable law.

2.3. Waypoint processes your User Content in accordance with our Privacy Policy, which forms part of these Terms of Use.

3. Account Security

3.1. If you create an account, you are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, whether or not authorised by you.

3.2. You must not share your password or account access with any other person. You agree to notify Waypoint promptly if you become aware of any unauthorised access to, or use of, your account.

3.3. Waypoint may suspend or disable your account if it reasonably believes your account has been compromised or used in breach of these Terms of Use.

4. Nature of the Service

4.1. Waypoint provides informational tools, AI-assisted features, and educational or career-related support services. Unless expressly stated otherwise, Waypoint does not act as an employer, recruiter, employment agency, or financial service provider.

4.2. Any content, suggestions, analyses, or outputs generated through the Services (including through AI-assisted features) are provided for general informational purposes only and should not be relied upon as professional, legal, financial, employment, or career advice.

4.3. You remain solely responsible for reviewing, verifying, and deciding whether and how to act on any information, recommendations, or outputs generated through the Services.

5. Disclaimer

5.1. The Services, content, software, features, and all related materials are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory.

5.2. To the fullest extent permitted by law, Waypoint disclaims all warranties, including without limitation:

  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • accuracy, reliability, completeness, or timeliness; and
  • that the Services will be uninterrupted, secure, or error-free.

5.3. Waypoint does not warrant that any content, results, or AI-generated outputs will be accurate, complete, suitable, or free from errors, omissions, or bias.

5.4. If the Services include links, integrations, or references to third-party websites, products, or services, those are provided for convenience only. Waypoint does not endorse, control, or assume responsibility for any third-party content, products, or services. Accessing such sites is entirely at your own risk.

5.5. If you believe any material on the Services violates these Terms of Use or applicable law, you may contact Waypoint. Waypoint may, in its sole discretion, investigate and take such action as it deems appropriate, including removing or restricting access to content.

6. User Responsibility

6.1. You acknowledge and agree that your use of the Services is at your own risk. Waypoint does not guarantee any specific outcome, including without limitation:

  • job opportunities;
  • interviews;
  • hiring decisions;
  • career advancement;
  • salary improvements; or
  • any other personal or professional result.

6.2. You are solely responsible for:

  • the content, legality, and accuracy of any User Content you upload or submit;
  • reviewing any AI-generated suggestions or outputs before relying on or using them;
  • maintaining backup copies of any documents or materials you provide; and
  • your interactions with any third parties, including employers, recruiters, service providers, or other users.

6.3. Waypoint is not responsible for:

  • the truthfulness, accuracy, or legality of third-party listings, opportunities, or content;
  • the conduct or identity of other users or third parties;
  • any employment or commercial decisions made by third parties; or
  • any loss, deletion, corruption, or unauthorised modification of User Content.

6.4. Certain features of the Services may use algorithms, automation, artificial intelligence, or machine learning systems to generate recommendations, classifications, analyses, or suggested actions. You acknowledge that such systems may produce inaccurate, incomplete, biased, or unsuitable outputs, and you remain solely responsible for reviewing, evaluating, and deciding whether to rely on any such outputs.

6.5. The materials and content made available through the Services may contain technical, typographical, informational, or other errors. Waypoint does not warrant that any materials or content made available through the Service are accurate, complete, current, or error-free.

6.6. Waypoint may update, modify, suspend, or remove any part of the Services or its content at any time without notice, and assumes no obligation to update any materials or content.

7. No Warranty

Without limiting any other provision of these Terms of Use, Waypoint does not warrant that:

  • the Services will operate without interruption or error;
  • defects will be corrected;
  • the Services or its servers are free of viruses or other harmful components; or
  • the content, services, software, text, graphics, or links will be accurate, reliable, complete, or current.

Use of the Services is entirely at your own risk.

8. Breach

8.1. Without prejudice to any other rights or remedies available to Waypoint, if you breach, or if Waypoint reasonably suspects that you have breached, any provision of these Terms of Use (in whole or in part), Waypoint reserves the right to take such action as it deems appropriate, including suspending or terminating your access to the Services, disabling your account, removing any content, and/or commencing legal proceedings against you.

8.2. You agree to fully indemnify, defend and hold harmless Waypoint and its shareholders, directors, agents, and employees from and against all claims, demands, liabilities, damages, losses, costs and expenses, including legal fees and any other charges whatsoever, howsoever caused, that may arise as a result of: (i) your breach of these Terms of Use, in whole or in part; (ii) violation by you of any law or any third party rights; and (iii) use by you of the Services.

9. Limitation of Liability

To the fullest extent permitted by law, Waypoint, its affiliates, officers, directors, employees, contractors, licensors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings, out of the use (or misuse) of the Services, even if Waypoint had prior knowledge of the possibility of such damages. Nothing in these Terms of Use shall exclude or limit Waypoint’s liability for death or personal injury resulting from its negligence.

10. Governing Law

These Terms of Use and any matters relating hereto is governed by and shall be construed in accordance with the laws of the Republic of Panama. Any controversy or dispute arising out of or relating to these Terms of Use, including its interpretation, performance, or termination, shall be submitted first to Conciliation and then to Arbitration administered by the Centro de Conciliación y Arbitraje de Panamá (CECAP) in accordance with its rules. The tribunal shall consist of one (1) arbitrator. The seat (legal place) of arbitration shall be Panama City, Republic of Panama. The language of the proceedings shall be English. The arbitral award shall be final and binding on the Parties.

11. Severability

If a provision of these Terms of Use is or becomes illegal, invalid or unenforceable in any jurisdiction, that shall not affect the validity or enforceability in that jurisdiction of any other provision hereof or the validity or enforceability in other jurisdictions of that or any other provision hereof.

12. Miscellaneous

12.1. No waiver by Waypoint of any breach of any provision of these Terms of Use (including the failure of Waypoint to require strict and literal performance of or compliance with any provision of these Terms of Use) shall in any way be construed as a waiver of any subsequent breach of such provision or of any breach of any other provision of these Terms of Use.

12.2. Nothing in these Terms of Use shall create or confer any rights or other benefits in favour of any third parties not party to these Terms of Use.

12.3. Nothing in these Terms of Use shall create or be deemed to create a partnership, agency, trust arrangement, fiduciary relationship or joint venture between you and Waypoint.

12.4. Waypoint may assign, transfer, charge, sub-license, or deal in any other manner with these Terms of Use, or subcontract any of its rights and obligations under these Terms of Use, to any other party.

12.5. These Terms of Use constitutes the entire understanding and agreement between you and Waypoint regarding the Services and supersedes any prior agreement, understanding, or arrangement between you and Waypoint.

12.6. Waypoint may amend or update these Terms of Use from time to time. Any revised version will take effect when published on https://thewaypoint.up.railway.app/, unless otherwise stated. By continuing to use the Services after updated Terms of Use are posted, you agree to be bound by the revised Terms of Use.

12.7. These Terms of Use, and any schedules and other documents incorporated by reference, and the text on this website have been drafted first in English. The User agrees that any translations to any other language shall be only for the User’s convenience. The English version of these Terms of Use and this website shall prevail in all legal matters and matters related to these Terms of Use.
